Terms of Service

1. Who this is between

These terms are between you and VPSLatch ("we", "us"), the operator of vpslatch.net. Using the site, opening an account or buying a service means you accept them.

We are not, and have never been, connected to the VPSLatch that traded under this name before 2013, nor to HostDime.com, Inc. We hold none of that company's obligations to anybody.

2. What we provide

Virtual private servers, on hardware we lease, for the period you have paid for. Each service is described on its plan page and that description is what we owe you. Specifications may improve over time; they will not silently get worse mid-term.

Services are provisioned by hand. We aim to have a paid order running within a few hours, but that is a target and not a term of this contract.

3. Payment

Bitcoin is the only payment method. Invoices are denominated in USD and settled in BTC at a rate we lock when you open the payment page, held for 60 minutes.

  • An invoice is paid when the payment reaches 1 confirmation.
  • Small shortfalls within our published tolerance are treated as paid in full.
  • Larger shortfalls leave the invoice open; the balance is credited and shown to you.
  • Overpayments become account credit against future invoices.
  • We watch every address we issue indefinitely. A late payment still reaches us and still counts.

Nothing renews automatically in the sense of taking money from you — there is no stored payment method. Renewal invoices are raised 10 days before the due date and you choose to pay them.

4. Late payment and suspension

If an invoice is unpaid 5 days after its due date we may suspend the service. Suspension stops the server; it does not delete anything. Paying the invoice restores it.

We will not delete customer data without telling you first and giving you a reasonable chance to retrieve it. In practice that means at least 14 days' notice after suspension, sent to the email on your account.

5. Your responsibilities

  • Follow the Acceptable Use Policy. It is short and specific.
  • Keep your server patched and secured. Root access means the security of what runs on it is yours.
  • Keep your own backups. We do not back up your server and will not pretend node redundancy is a backup.
  • Keep your account email reachable. Server credentials, invoices and suspension notices go there.
  • Do not resell in a way that leaves us unable to identify who is behind abuse from your IP.

6. Our responsibilities and their limits

We will run the service with reasonable skill and care, tell you about planned maintenance before it happens, and answer support tickets from a real person. Uptime commitments and the credits attached to them are in the SLA.

We do not guarantee the service will be uninterrupted or error-free, and we cannot control our upstream facility. Except where the law does not allow it, our total liability to you for any claim is limited to the amount you paid us for the affected service in the three months before the claim. We are not liable for lost profits, lost data, or business interruption.

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

7. Suspension and termination for cause

We may suspend or terminate immediately, without refund, if a service is used for anything the Acceptable Use Policy prohibits, if it endangers our network or other customers, or if we are compelled to act by a lawful order.

Where the situation allows it, we will contact you first and give you a chance to fix it. Where it does not — an active attack, or content we are legally required to remove at once — we act and then tell you.

8. Cancelling

Cancel at any time by not paying the next invoice, or by telling us in a ticket. There is no notice period, no cancellation fee, and no retention process to get through. Service runs to the end of the period you have paid for.

9. Refunds

Covered in full in the Refund Policy. The short version: refunds are paid in bitcoin at the rate on the day we send them, which means exchange-rate movement between your payment and the refund is carried by you, in whichever direction it goes.

10. Changes to these terms

We may update these terms. Material changes will be emailed to account holders at least 30 days before they take effect. If you do not accept a change, cancel before it applies — we will refund the unused portion of a prepaid term on a pro-rata basis, on the refund terms above.

11. Law

These terms are governed by the law of the Commonwealth of Australia and the courts there have non-exclusive jurisdiction. If you are a consumer, this does not remove any protection you have under the mandatory law of the country where you live.
